Espoo Agrees to Sell E.ON Finland Stake to Fortum

HELSINKI (Reuters) - Finland' s City of Espoo Council approved the sale of its 34.2 percent stake in power firm E.ON Finland (EON1V.HE: Quote, Profile, Research) to utility Fortum (FUM1V.HE: Quote, Profile, Research), opening the way for Fortum to take over the entire firm.
The council approved the sale in a vote late on Monday, city officials said in a statement.
Fortum said in December it had struck a deal to buy the stake for 364 million euros ($442 million), but that the City of Espoo Council had to approve the agreement for it to go through.
The move is part of an agreement in which Fortum will pay a total of 750 million euros for nearly all the shares in E.ON Finland, a unit of Germany' s E.ON (EONG.DE: Quote, Profile, Research).
The council also approved E.ON' s deal with Fortum.
Fortum first unveiled its plans to buy part of E.ON Finland from the German power giant in January 2005, saying it wanted to exercise an option under an agreement with the company.
But E.ON refused, citing an agreement with co-owner City of Espoo not to sell, and Fortum started legal proceedings to gain the right to buy the shares.
When Fortum in December raised its initial bid price for Espoo' s shares by 42 percent to 68 euros per share, the City Board of Espoo said it would agree to the deal."
